Master Services Agreement

Effective date: May 28, 2026

This Master Services Agreement governs your paid subscription to Hearline. It is entered into between Verdiex LLC, a Florida limited liability company operating the Hearline service, and the business identified at sign up. By subscribing to, paying for, or using Hearline, you agree to be bound by this Agreement.

Verdiex provides the Customer with:

  1. A Dedicated Number provisioned and managed by Verdiex
  2. An AI Agent answering inbound calls 24 hours a day, 7 days a week
  3. SMS lead notifications to a cell number the Customer designates
  4. A web dashboard at app.gethearline.com for managing the account
  5. Tier specific features (missed call text back, Google review automation, custom website) as described on the pricing page

4. Thirty day money back guarantee

Your first 30 days are 100 percent risk free. If you cancel within 30 days of the Service going live for any reason, we refund both the first month subscription and the 499 dollar setup fee, in full, no questions asked. After day 30 cancellation stops future billing immediately with no further charge, but no refund of the current month is owed. Refunds are processed within 5 business days to the original payment method.

5. Customer responsibilities

The Customer agrees to:

  1. Provide accurate intake information about the business
  2. Pay the subscription on time using a valid payment method
  3. Use the Service only for the licensed home services business that subscribed
  4. Not send unsolicited marketing communications, spam, or illegal content
  5. Comply with all carrier regulations for the Dedicated Number
  6. Inform end customers, where required by law, that calls may be recorded and answered by an AI agent
  7. Designate an owner contact (cell number, email) for lead notifications and Service communications
  8. Maintain confidentiality of dashboard credentials

6. Verdiex responsibilities

Verdiex agrees to:

  1. Provision the Dedicated Number within 24 hours of payment receipt and completed intake
  2. Configure and maintain the AI Agent for the Customer's business
  3. Deliver SMS lead notifications to the Customer's designated cell number
  4. Maintain the web dashboard and associated infrastructure
  5. Use commercially reasonable efforts to maintain 99.9 percent Service uptime (see SLA)
  6. Process refunds per Section 4
  7. Notify the Customer of material Service changes via email at least 14 days in advance

See the full Acceptable Use Policy. Violation may result in immediate suspension without refund and may be reported to authorities where appropriate.

10. Service availability and SLA

See the full Service Level Agreement. Verdiex targets 99.9 percent uptime but does not guarantee uninterrupted service. The Service depends on third party infrastructure (Twilio, Vapi, Anthropic Claude, Cartesia, Supabase, Stripe, Clerk) and outages may occur.

11. Limitation of liability

To the maximum extent permitted by Florida law, Verdiex's total liability for any claim arising from the Customer's use of Hearline is limited to the amount the Customer paid in the 30 days before the event giving rise to the claim. Verdiex is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities.

The AI Agent makes commercially reasonable efforts to handle calls professionally. Verdiex does not guarantee that every call will be handled perfectly. The Customer remains solely responsible for following up with leads, running the business, and verifying lead quality before commitment.

12. Customer warranties and indemnification

12.1 TCPA and consent warranties

The Customer represents and warrants that for any phone number forwarded to or used with the Service, the Customer has obtained any consent required under the Telephone Consumer Protection Act (TCPA), the Florida Telephone Solicitation Act (FTSA), state two party call recording laws, and any other applicable communications laws from the end users whose numbers will be processed by the Service.

The Customer specifically warrants that it will not use the Service to contact, capture, or text any phone number for which the Customer has not obtained legally required consent.

12.2 Indemnification

The Customer agrees to indemnify, defend, and hold Verdiex harmless from any claims, damages, attorneys' fees, and costs arising from:

14. Changes to this Agreement

Verdiex may update this Agreement as the Service evolves. Material changes will be announced via email to active customers at least 14 days before they take effect. The current version is always available at this URL.

15. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflicts of law principles. Any dispute will be resolved in the state or federal courts located in Palm Beach County, Florida. Both parties waive any right to a jury trial.

The Customer agrees to first attempt to resolve any dispute informally by emailing [email protected] before initiating legal proceedings.

16. Entire agreement

This Agreement, together with the Acceptable Use Policy, Service Level Agreement, Privacy Policy, and Terms of Service, constitutes the entire agreement between the parties regarding the Service and supersedes all prior agreements.

If any provision is held unenforceable, the remaining provisions remain in effect.
